Terms of Service

Agreement to Terms
Heddle is a product of Nandez Interactive, a business registered in Trinidad and Tobago. In these terms, "Heddle", "we", "us" and "our" mean Nandez Interactive.
By accessing or using the Heddle website or platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or platform.
Our Services
Heddle provides a small-business platform for Caribbean merchants, including a hosted storefront, WhatsApp-based ordering, point of sale, delivery and booking management, inventory, analytics, and related features. Specific features available to your account may vary based on your plan and region.
Early Access
Heddle is in early access. The platform is under active development and is offered to a limited number of businesses while we find out how well it works in practice. While early access lasts, the following applies in addition to the rest of these terms.
- No availability commitment. There is no service level agreement, no guaranteed uptime, and no guaranteed support response time. The platform may be unavailable, slow, or partly broken at any time, including during your busiest trading periods.
- Features may change. We may add, change, or withdraw any feature at any time, including features you have come to rely on. Nothing on our website or in your account is a promise to build or to keep anything.
- Expect errors. Early access software contains defects. Automated features may act incorrectly and figures shown to you may be wrong. Check anything you intend to rely on before you rely on it.
- Early access can end. We may end the early access program, or close an individual account, on reasonable notice. Before we delete your business data we will give you at least 30 days to export it.
- Pricing will change. Early access may be free or discounted, and it will not stay that way. We will tell you before you are charged anything, and you may cancel instead of paying.
Service Availability
Heddle accounts are available to businesses operating in the countries we offer at signup. We may add or remove supported countries over time. Your storefront may be visible to visitors anywhere, but the business itself must be established and operating in a supported country.
You may not use Heddle if you, your business, or its owners are subject to sanctions, or are located in a jurisdiction embargoed under laws that apply to us or to our service providers. We may decline, suspend, or close accounts in jurisdictions we cannot lawfully serve.
Accounts
To use the Heddle platform you must create an account and provide accurate information. You are responsible for keeping your credentials secure and for any activity under your account. You must be authorized to operate the business you register on Heddle.
Acceptable Use
You agree not to:
- Use Heddle for any unlawful activity or to sell goods or services prohibited by applicable law
- Misrepresent your identity or your business
- Interfere with the integrity or security of the platform
- Scrape, reverse-engineer, or abuse our APIs or infrastructure
- Upload content that infringes third-party rights
Prohibited Businesses
Heddle may not be used to sell or promote:
- Illegal drugs, drug paraphernalia, or controlled substances
- Weapons, ammunition, or explosives
- Gambling, betting, or lottery services
- Adult content or sexual services
- Counterfeit or stolen goods
- Pyramid schemes, multi-level marketing, or similar programs
- Money services such as money transmission, currency exchange, lending, or cryptocurrency trading, unless you hold the required licenses and we have approved the use in writing
We may suspend or close accounts that sell prohibited goods or services, and we decide in good faith whether an offering falls into a prohibited category.
Licensed Goods
Some products may only be sold with a valid local license: alcohol, tobacco and vaping products, and pharmaceuticals. If you sell them, you are solely responsible for holding the required licenses, enforcing age restrictions, and complying with your payment processor's rules for these categories. We may ask for proof of licensing and may suspend sales of these items until you provide it.
Automated Features
Heddle includes automated features that act on your behalf. The assistant can draft website content and marketing copy, compose and update your storefront, summarize your business data, suggest changes, and reply to your customers through WhatsApp and other channels.
- Automated output is a starting point, not a finished product. Text, layouts, summaries, and recommendations are generated automatically and can be inaccurate, incomplete, or unsuitable for your business. Review anything before you publish it or act on it.
- You control how much runs on its own. Heddle lets you decide which actions need your approval and which run automatically. Actions taken under the settings you choose are your responsibility, and you can change those settings at any time.
- Messages go out in your name. When Heddle replies to your customers, it does so as your business. You are the sender. You are responsible for the content of those messages, for having your customers' consent to message them, and for meeting the rules of the channel you use.
- Check automated conversations. Your conversations are visible in your inbox. Review them regularly and take over any conversation that needs a person.
Financial, Tax, and Reporting Information
Heddle calculates totals, taxes, invoices, payouts, and analytics from the data in your account. These figures are there to help you run your business. They are not accounting, tax, or legal advice.
- Tax rates, thresholds, and treatments reflect our best understanding of the rules that apply to you, and those rules change. You are responsible for confirming that the rates and treatments used in your account are correct for your business.
- You are responsible for your own filings, returns, and records, and for checking figures before you rely on them or submit them to any authority.
- Where a figure in Heddle differs from your own records or your accountant's, treat theirs as correct.
Third-Party Services
Heddle relies on services we do not control, including messaging platforms such as WhatsApp, payment processors, mapping and routing providers, and hosting providers. Using Heddle may also make you subject to their terms.
We are not responsible for what those services do. That includes changes to their rules or pricing, outages, degraded performance, and any decision they make to restrict, suspend, or close your account or ours. If a third-party service becomes unavailable or changes in a way that affects Heddle, we may change or withdraw the affected feature.
Delivery and Dispatch
Routes, arrival times, distances, and delivery estimates are calculated from map data and are estimates only. Real conditions vary.
You are responsible for your deliveries and for the people who make them, including hiring and supervising drivers, vehicle condition and insurance, road safety, and compliance with the transport rules where you operate. Heddle plans and tracks the work. It does not carry it out.
Storefront Accessibility
Your storefront combines the templates, sections, and styling we supply with the content you supply. Responsibility divides on the same line.
We are responsible for what we supply: the structure of our sections, the color palettes we offer, and the markup our templates produce. We test those palettes for text contrast. Heddle is in early access, and nothing in these terms is a warranty that a storefront meets WCAG 2.1 AA or any other accessibility standard. Our Accessibility page sets out what we have assessed and what we have not.
You are responsible for what you supply: your text, your images and their alternative text, any colors or fonts you set, any custom code or third-party content you embed, and any documents you offer for download. We provide a field for image alternative text. Filling it in is yours to do.
Where a country you sell into places accessibility obligations on your business, meeting them is your responsibility. We do not meet them on your behalf. If you find an accessibility problem in a part of the platform we supply, report it to accessibility@heddleapp.com and we will treat it as a defect.
Your Business Data
You retain ownership of the business data you put into Heddle: your products, pricing, customers, orders, and related records. You grant us the rights necessary to operate the platform on your behalf, including hosting, processing, and displaying your content to your customers. We keep regular backups of your business data. You should also keep your own copies of any records your business is required to retain, such as financial and tax records. You can export your business data at any time.
Intellectual Property
The Heddle name, logo, platform, and website content are our intellectual property and may not be used without our prior written permission.
Fees and Payment
Plan pricing, transaction fees, and accepted payment methods are set out on our website or in your account. We may update pricing from time to time with reasonable notice. You are responsible for any applicable taxes in your jurisdiction.
Warranties and Disclaimers
We provide the Heddle platform "as is" and "as available." To the maximum extent permitted by law:
- We do not guarantee specific business outcomes or results from using Heddle.
- Our website and platform content is provided for informational and operational purposes only and does not constitute professional advice.
- We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.
Subject to that, and to the maximum extent permitted under the laws of Trinidad and Tobago:
- Our total liability for all claims arising from or connected to Heddle, your use of it, or your inability to use it, is limited in aggregate to the fees you paid us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, goodwill, anticipated savings, or business opportunities, whether or not we were advised that such loss was possible.
- These limits apply to liability in contract, in tort (including negligence), for breach of statutory duty, for misrepresentation, in restitution, and on any other basis, whether or not a contract is found to exist between us.
- These limits apply in aggregate across all claims, not per claim, and they survive termination of your account and of these terms.
Indemnification
You agree to indemnify and hold harmless Heddle from any claims, damages, or expenses arising from your use of the platform, your breach of these terms, or your violation of any third-party rights.
Termination
You may terminate your account at any time. We may suspend or terminate your access if you materially breach these terms or if required by law. On termination, you can export your data for a reasonable period before it is deleted.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed through the use of the platform.
Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet or infrastructure failures, or pandemics.
Governing Law and Dispute Resolution
These terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.
Any dispute arising from these terms or the Heddle platform will first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, it will be submitted to binding arbitration in Trinidad and Tobago, conducted in accordance with the Arbitration Act of Trinidad and Tobago.
Language
These terms are written in English. Any translation is provided for convenience only. If there is any conflict or difference in meaning between the English version and a translation, the English version governs.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Entire Agreement
These terms constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements and understandings.
Changes to These Terms
We may update these terms as Heddle changes. For changes that materially affect your rights or obligations, we will give you at least 30 days' notice by email and in your dashboard, and the change takes effect on the date we state.
You will be asked to accept the updated terms the next time you sign in on or after that date. If you do not agree, you may export your business data and close your account before the change takes effect. Minor changes, such as corrections and clarifications, take effect when we publish them.
